These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Sintetico Inc., a Delaware corporation ("Sintetico," "we," "us," or "our"), governing your access to and use of the Converza platform, including our website at converza.ai, mobile applications, and all related services (collectively, the "Service").

Converza is an AI-powered voice receptionist platform that provides automated call answering, appointment scheduling, and customer communication services for businesses. The Service includes:

• AI voice call handling and routing
• Automated appointment booking and calendar management
• Call transcription and recording storage
• Contact management
• Integration with third-party calendar services
• SMS and email notifications

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Make harassing, threatening, or fraudulent calls
• Transmit spam, unsolicited communications, or telemarketing
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any systems
• Use the Service for any illegal purpose
• Resell or redistribute the Service without authorization

The Service may record telephone calls for quality assurance, training, and record-keeping purposes. You are responsible for:

• Complying with all applicable call recording laws in your jurisdiction
• Obtaining any required consent from callers before recording
• Configuring appropriate call announcements if required by law

We provide tools to help you comply with recording consent requirements, but compliance is ultimately your responsibility.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, upgrades, or circumstances beyond our control. We will provide reasonable notice when possible.

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Sintetico Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Service will be revoked
• You remain responsible for any outstanding charges
• We will retain your data for 30 days, after which it may be deleted
• You may request export of your data before deletion

We may terminate or suspend your account immediately for violation of these Terms or for any other reason at our sole discretion.

We may modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sintetico Inc. regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent.
