Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Sintetico Inc., a Delaware corporation ("Sintetico," "we," "us," or "our"), governing your access to and use of Converza, including our website at converza.ai, applications, and all related services (collectively, the "Service").

Converza is a Sintetico product. The features, functionality, and capabilities of the Service may change over time as we improve and update the product. We may add, modify, or discontinue features at our discretion. Material changes to functionality that affect your subscription will be communicated in advance.

To use the Service, you must create an account by providing accurate, current, and complete information. You agree to:

• Provide accurate and complete registration information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your organization
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or breach

One account per person unless you have explicit authorization for additional accounts. Sharing credentials, creating multiple accounts to circumvent usage limits, or using throwaway email addresses to abuse free-tier allowances violates these Terms and may result in suspension.

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe the intellectual property rights of others
• Upload, transmit, or process content you do not have the right to use
• Send harassing, threatening, defamatory, fraudulent, or unlawful content
• Send spam, unsolicited communications, or unauthorized telemarketing
• Impersonate any person or entity, or misrepresent your affiliation
• Interfere with, disrupt, or place undue load on the Service or servers
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Reverse-engineer, decompile, scrape, or probe the Service beyond normal product use
• Use the Service to build a competing product, or to train AI or machine-learning models on Service outputs
• Use automated systems to access the Service without our written permission
• Resell, sublicense, or redistribute the Service without authorization
• Engage in any fraudulent, deceptive, or abusive practices

The Service may record and transcribe telephone calls for quality assurance, training, recordkeeping, and to provide the AI receptionist functionality. You are responsible for:

• Complying with all applicable call-recording laws in your jurisdiction (including one-party and two-party consent statutes)
• Obtaining any required consent from callers before recording, including any required disclosure at the start of the call
• Configuring appropriate call announcements where required by law

We provide tools to help you comply with recording-consent requirements, but compliance is ultimately your responsibility. You agree to indemnify Sintetico Inc. for claims arising from your failure to obtain required caller consent.

The Service may use artificial intelligence to generate insights, analyses, predictions, summaries, recommendations, or other outputs ("AI Output"). AI Output is provided for informational purposes only.

We do not guarantee the accuracy, completeness, timeliness, or fitness for a particular purpose of any AI Output. AI systems can produce errors, omissions, or fabricated information. You should use your own judgment when acting on AI Output.

The following terms apply to SMS/text messaging services provided through Converza, where applicable.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

We target best-effort availability for the Service. We do not guarantee uninterrupted, error-free, or completely secure access. We may suspend the Service temporarily for maintenance, upgrades, security responses, or circumstances beyond our control. We will provide reasonable notice when possible.

No formal uptime SLA applies unless a specific SLA is agreed in writing as part of an enterprise plan.

Our total cumulative liability for any and all claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (US$100).

You agree to indemnify, defend, and hold harmless Sintetico Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Content, your violation of these Terms, or your infringement of any third-party rights.

You may terminate your account at any time through your account settings or by contacting us. Account deletion is permanent.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms. Upon termination:

• Your right to access the Service will immediately cease
• You remain responsible for any outstanding charges
• We will delete your data within 30 days, except where retention is required by law
• You may request export of your data before deletion
• Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive

We may modify these Terms at any time. We will notify you of material changes by email and by posting the updated Terms on the Service with a new "Last Updated" date at least 30 days before they take effect, except where a shorter period is required by law. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. Price changes follow the separate notice process in the Subscription and Billing section.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the arbitration seat in Wilmington, Delaware. Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

• Entire Agreement: These Terms, together with the Privacy Policy and any product-specific terms, constitute the entire agreement between you and Sintetico Inc. regarding the Service and supersede prior agreements.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• Waiver: Failure to enforce any right or provision does not waive that right or provision.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms freely.
• Force Majeure: Neither party is liable for delays or failures caused by events beyond reasonable control.
• Notices: We may provide notices to you by email to your registered address or through the Service.
• No Agency: These Terms do not create an agency, partnership, joint venture, or employment relationship.
